MINTLATCH SERVICE WALLET TERMS Version 1 ยท effective 30 September 2026 These terms apply to the optional "service wallet" feature of Mintlatch (the "Service", "we", "us"). By signing the acceptance message with your wallet, you ("you", the "User") agree to them. If you do not agree, do not create or use a service wallet. 1. WHAT THE SERVICE WALLET IS 1.1 The service wallet is an optional convenience tool. It is a blockchain wallet whose private key is generated and stored in encrypted form on servers operated for the Service, so that the Service can sign transactions you ask for (for example mints) without a wallet pop-up. 1.2 The service wallet is a "hot wallet". It is not a bank account, not a deposit, not a custody, escrow, payment, investment or savings product, and it is not insured or covered by any deposit or investor protection scheme. No interest or return is paid. 1.3 You control the service wallet through your main wallet: only a signature from your main wallet lets you withdraw, change limits, view the private key or delete the service wallet. You can export the private key and use the service wallet without the Service. 2. YOUR RESPONSIBILITY 2.1 You decide what to deposit. Deposit only amounts you are prepared to lose in full. 2.2 You are solely responsible for every action taken with your service wallet and your main wallet, for the settings and spending limits you choose, and for keeping your main wallet, your devices and any exported private key secure. 2.3 You must check every signature request and transaction in your own wallet before approving it. The Service will never ask you for your private key or seed phrase. 2.4 You are responsible for any taxes and for complying with the laws that apply to you. 3. RISKS YOU ACCEPT You understand and accept that funds and NFTs in the service wallet can be lost permanently, partly or entirely, including because of: (a) unauthorized access to, or attacks on, the website, the servers, the hosting providers, or any third party the Service relies on (such as OpenSea, blockchain nodes, wallet software or browsers), whether or not reasonable security measures were in place; (b) software bugs, errors, misconfiguration, outages, data loss or loss of the encryption keys; (c) failed, delayed, reverted, front-run or unexpectedly priced transactions, network congestion, gas costs, chain reorganizations or forks; (d) risks of the NFT collections, smart contracts and blockchains you interact with, including scams, rug pulls and worthless assets; (e) your own mistakes, including wrong addresses, amounts or networks, and loss or theft of your main wallet or exported key; (f) changes in law or regulation, or actions of authorities, platforms or service providers. 4. NO GUARANTEES 4.1 The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of availability, accuracy, security, merchantability, fitness for a particular purpose and non-infringement. 4.2 We do not guarantee that any mint, auto-mint, copy-mint or withdrawal will succeed, happen at a given time or price, or that you will get any allowlist spot. The service wallet cannot use allowlist spots that belong to your main wallet. 4.3 Information shown by the Service (prices, supply, eligibility, balances) may be incomplete, delayed or wrong. You rely on it at your own risk. 5. LIMITATION OF LIABILITY 5.1 To the fullest extent permitted by applicable law, the Service, its operators, developers, affiliates and contributors are not liable for any loss or damage of any kind arising from or related to the service wallet or the Service, including loss of funds, digital assets, NFTs, profits, opportunities or data, whether caused by third-party attacks, unauthorized access, bugs, outages, negligence or otherwise, and whether direct, indirect, incidental, special or consequential. 5.2 Where liability cannot be excluded by law, the total liability of the Service and its operators is limited to the fees you paid to the Service for the service wallet in the three months before the claim, which may be zero. 5.3 Nothing in these terms excludes liability that cannot be excluded under applicable law. 6. INDEMNITY You agree to indemnify and hold harmless the Service and its operators against any claims, losses and costs (including reasonable legal fees) arising from your use of the service wallet, your breach of these terms or your breach of any law or third-party rights. 7. ACCEPTABLE USE AND ELIGIBILITY 7.1 You confirm that you are of legal age in your jurisdiction, that you are not located in, or a resident or national of, a country or region subject to comprehensive sanctions, and that you are not on any sanctions list. 7.2 You will not use the service wallet for any unlawful purpose, including money laundering, fraud, market manipulation or evading the limits or rules of any drop or platform. 7.3 We may restrict or refuse the feature for anyone at any time. 8. CHANGES, SUSPENSION AND SHUTDOWN 8.1 We may change, suspend or discontinue the service wallet or any part of the Service at any time, with or without notice. We will make reasonable efforts to keep withdrawals and private key export available for a period after announcing a shutdown, but we do not guarantee it. You should keep only what you need in the service wallet and may export the key at any time. 8.2 We may update these terms. A new version applies once you accept it; you may be asked to accept it before you can keep using the service wallet. 8.3 You may stop using the service wallet at any time by withdrawing your funds and deleting it. Deleting erases the key from our servers; anything left in the wallet can then only be reached with a key you exported. 9. EVIDENCE OF ACCEPTANCE You agree that your signature of the acceptance message, which names this version of the terms and its SHA-256 fingerprint, is valid evidence that you read and accepted these terms, and that the Service may keep a record of it. 10. GENERAL If any provision of these terms is held unenforceable, the rest remains in effect. These terms are the entire agreement between you and the Service about the service wallet. Failure to enforce a provision is not a waiver.
